Terms of service

  • Lead time: 8-10 weeks after the deposit is received, signed contract and line drawings are received.
  • Payment terms: Orders totalling $5000 or less must be paid 100%. Orders totalling $5001 or more require a 50% deposit, and balance is due when product is ready to be shipped from factory. All orders are nonrefundable.
  • Quantities, colours, finishes, fabric selections, patterns and other item details on the estimate, specifications, line drawings must be verified by customer prior to purchase.
  • Freight estimates are not guaranteed and are only available upon request. They are estimates only and, are subject to change at any time. Freight carriers do not guarantee their estimates therefore final charges may vary. Any supplemental charges incurred at the time of delivery will be billed to the purchaser even if previously invoiced.
  • FOB Jobsite.
  • Drop Shipments: Our transportation obligation is fulfilled once goods arrive at the requested port. Any detention, demurrage or any other related costs that may occur from the containers movement from port to destination and the return of such empty containers back to the designated location determined by the ocean lines is at the client's expense. Vertex Furniture is in no way responsible for such fees.
  • Unload method is live unload with a 2-hour time limit per container. Container detention charges at $120/hour will be invoiced.
  • Damaged/missing items must be reported on the BOL/packing slip at the time of delivery and must be filed via email within 24 hours.
  • Purchaser responsible for any storage charges incurred paid proforma if the purchaser is not ready for furniture arrival on date of delivery.
  • Vertex Furniture is not responsible for any defects caused by the storage of furniture after delivery if client chooses a non-climatized storage container and/or facility.
  • This contract is a ship-when-ready contract. Storage is not included in the contract.
  • All custom-styled case goods and seating specifications may change based on the client’s requests. Variations occurring in wood, leather, and other material inherent to their characters aren't considered defects.
  • Estimates of flooring, wallcoverings, carpet, LVT and other products are provided as a courtesy. Customer is responsible for having quantities confirmed by installer or contractor.
  • Carpet manufacturing overages are expected and will be charged as per the manufacturer's guidelines. Some items may require purchase by the full box or roll, and the procurement agent will issue a change order to adjust for any quantities to fill these minimums.
  • Any unforeseen U.S. political or legislative changes with regard to furniture importing from foreign countries may affect the prices provided in our quotation. Section 301 China Tariff charges are included up to a maximum of 25%, if the tariff rate increases, pricing is subject to change even after the contract is signed.
  • Customer is responsible for paying all Local, State and Federal taxes unless such taxes are collected by the seller. Taxes are not included in product pricing. Any penalties arising from non-payment of Sales, Use, or Federal taxes will be the sole responsibility of the end user.
  • Vertex Furniture is a trading company and will not be responsible for any damage claims or warranties. Customers to contact the manufacturer or supplier directly. Vertex Furniture will assist with this process.
  • Governing Law: This Agreement shall be governed by and constructed in accordance with the internal laws of the State of DE (without regard to conflicts of laws principles). The parties designate the state or federal courts of New Castle County, DE as the courts of proper jurisdiction and exclusive venue for any actions or proceedings relating to this
  • Agreement or any document executed in connection herewith; irrevocably consent to such designation, jurisdiction, and venue; and waive any objections or defenses relating to jurisdiction or venue with respect to any action or proceeding initiated in such courts.
  • Vertex Furniture is not responsible for any delays caused by Act of God or any unexpected delays not controllable by Vertex Furniture.
  • Late payments are subject to a 1.5% monthly interest charge (18% APR). The customer is liable for all legal and collection fees.
